Throughout these Terms and Conditions, the terms "FUNCO", "we", "our" and "us" refer to SMARTCITYHUB SRL.

FUNCO operates this Website using the Shopify e-commerce platform and offers products, content, services and related functionality through the Website.

By accessing, browsing, creating an account, placing an order or otherwise using the Website, you agree to be bound by these Terms and Conditions, the Privacy Policy, the Return and Refund Policy, the Shipping Policy and any other policies published on the Website.

If you do not agree with these Terms, you should not access or use the Website.

2. Eligibility and Website Access

By using the Website, you represent and warrant that:

• you are at least sixteen (16) years of age;

• you possess the legal capacity to enter into binding contracts under applicable law;

• all information provided by you is accurate, complete and up to date.

FUNCO does not knowingly market products or services to children under the age of sixteen (16).

If we become aware that an account has been created or an order has been placed by a person under the age of sixteen (16) without appropriate legal authorization, we reserve the right to suspend the account and cancel the related order, subject to applicable legal requirements.

Access to the Website may be suspended, restricted or terminated at any time for maintenance, security, legal or operational reasons.

3. Customer Accounts

FUNCO makes reasonable efforts to ensure that product descriptions, specifications, pricing and images displayed on the Website are accurate.

• colours may vary depending on screen settings and device characteristics;

• product photographs are illustrative;

• minor differences in print positioning, dimensions or colour shades may occur during manufacturing.

Such variations shall not be considered defects.

FUNCO reserves the right to:

• modify product descriptions;

• change pricing;

• discontinue products;

• limit quantities;

• restrict availability by region;

without prior notice.

5. Made-to-Order Products

Most products offered through www.funco.ro are manufactured individually after an order has been placed through a print-on-demand production process.

Products are produced according to the specifications selected by the customer, including:

• design;

• product type;

• size;

• colour;

• print configuration;

• product variant.

Products are generally not manufactured in advance and are not maintained as inventory for resale.

By placing an order, the customer expressly acknowledges that production begins specifically for that order.

For customers located within the European Union, products manufactured according to customer-selected specifications may fall within the exception provided by Article 16(c) of Directive 2011/83/EU and Article 16(c) of Romanian Government Emergency Ordinance No. 34/2014 regarding goods made to the consumer's specifications or clearly personalized.

Accordingly, products manufactured specifically for an order may not be eligible for cancellation, return or refund merely because:

• the customer changes their mind;

• the customer selected an incorrect size;

• the customer selected an incorrect colour;

• the customer no longer wishes to receive the product;

• personal preferences change after production has commenced.

6. Orders

Placing an order through the Website constitutes an offer to purchase products from FUNCO.

An order becomes binding only after:

• payment has been successfully authorized; and

• the order has been accepted by FUNCO.

FUNCO reserves the right to refuse, cancel or limit any order where:

• payment cannot be verified;

• fraud is suspected;

• technical or pricing errors occur;

• products become unavailable;

• legal or compliance concerns arise.

Customers are responsible for reviewing all order details before submitting an order.

By placing an order, customers confirm that all information supplied is accurate and complete.

All purchases remain subject to the Return and Refund Policy.

7. Prices and Payments

All prices displayed on the Website are shown in the applicable currency and include VAT where required by law unless expressly stated otherwise.

Shipping charges, customs duties, import taxes and similar charges may be displayed separately during checkout.

FUNCO reserves the right to modify prices, discounts, promotions and offers without prior notice.

FUNCO does not store complete payment card information.

Production times and delivery estimates displayed on the Website are indicative only and do not constitute guaranteed delivery dates.

FUNCO shall not be liable for delays resulting from:

• customs procedures;

• carrier delays;

• adverse weather conditions;

• strikes;

• transportation disruptions;

• force majeure events;

• incorrect delivery information provided by the customer.

For consumers located within the European Union, the risk of loss or damage transfers to the customer only when the customer or a third party designated by the customer obtains physical possession of the goods.

For orders shipped outside the European Union, customers may be responsible for customs duties, import taxes and local fees imposed by authorities in the destination country.

9. Intellectual Property Rights

All content available on the Website, including but not limited to:

• trademarks;

• logos;

• brand names;

• product names;

• slogans;

• graphics;

• illustrations;

While Shopify provides the technological infrastructure that enables the operation of the Website, all purchases made through www.funco.ro are concluded directly between the customer and SMARTCITYHUB SRL.

Shopify is not responsible for:

• order fulfillment;

• refunds;

Where a force majeure event substantially affects the fulfillment of an order, FUNCO may cancel the affected order and provide an appropriate refund for products that have not yet been manufactured or shipped.

If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions shall remain valid and enforceable to the fullest extent permitted by law.

17. Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of Romania.

Consumers residing within the European Union shall additionally benefit from any mandatory consumer protection rights granted under the laws of their country of residence.

Any dispute arising from the use of the Website or purchases made through it shall be subject to the jurisdiction of the competent Romanian courts unless mandatory consumer protection legislation provides otherwise.
